These Terms of Service (“Terms”) govern access to and use of the GovGrids platform, websites, software, applications, modules, tools, content, support services, implementation services, onboarding services, and related offerings (collectively, the “Services”) provided by GovGrids (“GovGrids,” “we,” “our,” or “us”).

GovGrids provides digital solutions for municipalities, including towns, cities, counties, public agencies, and other government entities across the United States. By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a town, city, county, municipality, public authority, department, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Scope of Services

GovGrids provides a unified digital platform designed to support municipal and public-sector operations. The Services may include administrative tools, records management, public service workflows, request handling, case management, permitting, inspections, internal communication tools, reporting, analytics, document handling, data migration, onboarding, implementation support, and related digital infrastructure.

Certain modules, features, tools, or capabilities may be included by default within the platform and may be enabled, configured, restricted, or disabled through administrative settings, subscription terms, implementation scope, technical availability, or customer preference. GovGrids reserves the right to improve, modify, replace, suspend, or discontinue any part of the Services at any time, subject to applicable contractual obligations.

2. Eligibility and Authorized Use

The Services are intended for use by municipalities, towns, cities, counties, government departments, public-sector agencies, authorized contractors, and other legally authorized entities or representatives. You may use the Services only if you are legally authorized to do so and only for lawful governmental, administrative, operational, or related public-service purposes.

If you are an administrator or representative acting on behalf of an entity, you are responsible for ensuring that only authorized users are granted access to the Services and that such access is consistent with your organization’s policies, applicable law, and these Terms.

3. Account Registration and Security

Access to certain parts of the Services may require account registration, credentials, authentication methods, or administrator-issued permissions. You agree to provide accurate, current, and complete information when creating or maintaining an account and to promptly update such information as needed.

You are responsible for maintaining the confidentiality of account credentials, restricting unauthorized access to your systems and devices, and all activities occurring under your account or the accounts managed by your organization, except to the extent caused by GovGrids’ own breach of these Terms or applicable law.

You agree to notify GovGrids promptly of any suspected or actual unauthorized access, credential compromise, account misuse, or security incident involving the Services.

4. Permitted Use of the Platform

You agree to use the Services only in accordance with applicable law, public-sector obligations, and these Terms. You may use the platform to:

  • Manage lawful municipal and government operations
  • Process requests, records, forms, permits, workflows, and administrative tasks
  • Store, review, and manage authorized documents and operational data
  • Configure platform settings and modules for approved organizational use
  • Use reporting and workflow tools in support of authorized public-sector functions

5. Prohibited Conduct

You agree not to:

  • Use the Services for unlawful, fraudulent, deceptive, or unauthorized purposes
  • Attempt to gain unauthorized access to accounts, systems, networks, data, or other environments connected to the Services
  • Interfere with, disrupt, damage, or impair the availability, integrity, or security of the Services
  • Upload, transmit, or distribute malicious code, malware, ransomware, spyware, or harmful scripts
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying structure from the Services, except where prohibited by law from restricting such rights
  • Use the Services in a way that violates privacy rights, procurement rules, recordkeeping requirements, or public-sector legal obligations
  • Misrepresent your identity, authority, affiliation, or authorization to use the Services
  • Circumvent technical limitations, security controls, permissions, licensing restrictions, or usage boundaries
  • Use the Services to store or process data where you do not have lawful authority to do so
  • Use the Services in any manner that could expose GovGrids, its customers, or the public to legal, operational, or security risk

6. Customer Data and Ownership

As between GovGrids and the customer, the customer retains ownership of the data, records, files, documents, submissions, and other content that the customer or its authorized users upload, enter, submit, import, create, or manage through the Services (“Customer Data”), except as otherwise provided by law, public records requirements, or written agreement.

GovGrids does not claim ownership of Customer Data. However, you grant GovGrids the limited rights necessary to host, process, transmit, store, migrate, back up, display, and otherwise use Customer Data solely as necessary to provide, support, secure, maintain, improve, and administer the Services, fulfill contractual obligations, and comply with applicable law.

7. Customer Responsibilities for Data

Customers and authorized users are responsible for the legality, accuracy, quality, integrity, completeness, reliability, and appropriateness of Customer Data submitted to the Services. You represent and warrant that you have all rights, permissions, authorizations, and legal authority necessary to submit, process, store, migrate, disclose, and use such data in connection with the Services.

You are also responsible for compliance with laws and regulations applicable to your use of the Services and your data, including but not limited to public records laws, records retention schedules, accessibility obligations, privacy laws, procurement requirements, and agency-specific policies.

8. Data Migration and Implementation

GovGrids may assist customers with implementation, onboarding, system configuration, legacy data import, data conversion, record migration, training, and operational transition services. While GovGrids may provide reasonable assistance in these activities, the customer remains responsible for reviewing and validating migrated or imported data for accuracy, completeness, consistency, and legal compliance after migration or onboarding is completed.

GovGrids is not responsible for inaccuracies, omissions, legacy system defects, formatting issues, incomplete source records, or other problems originating from third-party systems, customer-provided files, or historic records supplied for migration unless otherwise expressly agreed in writing.

9. Pricing, Billing, and Fees

Unless otherwise specified in a separate written agreement, proposal, quote, procurement document, order form, or subscription schedule, pricing for GovGrids may be based on a per-capita model, service scope, customer size, licensing terms, implementation requirements, support level, module availability, integrations, or other commercial criteria determined by GovGrids.

All fees, payment schedules, invoicing terms, taxes, renewals, and related billing matters will be governed by the applicable contract, proposal, procurement award, or written commercial agreement between GovGrids and the customer. Except as otherwise required by law or expressly stated in a written agreement, fees paid are non-refundable.

10. Platform Configuration and Modules

The GovGrids platform may include multiple modules, components, or feature sets. Some modules may be available by default and configurable through settings, administrative permissions, implementation choices, or service arrangements. The existence of a module within the platform does not guarantee that it will be active, configured, licensed, or suitable for every customer or use case.

Customers are responsible for reviewing enabled features, administrative settings, permissions, and internal workflows to ensure they align with their operational needs and legal obligations.

11. Availability and Service Performance

GovGrids aims to provide reliable and professionally maintained Services. However, the Services are provided on an “as available” and “as is” basis unless otherwise expressly stated in a separate service-level agreement. GovGrids does not guarantee uninterrupted availability, error-free operation, or that all defects will be corrected within any specific timeframe unless expressly agreed in writing.

Temporary interruptions may occur due to maintenance, upgrades, emergency patches, infrastructure failures, internet disruptions, third-party service outages, security events, force majeure events, or circumstances beyond our reasonable control.

12. Third-Party Services and Integrations

The Services may support integrations or interoperability with third-party software, systems, APIs, payment services, mapping providers, messaging systems, identity services, hosting vendors, or other tools. GovGrids is not responsible for the functionality, security, availability, content, or privacy practices of third-party services except to the extent required by applicable law or expressly stated in writing.

Use of third-party services may be subject to separate terms, privacy policies, technical limitations, and vendor requirements.

13. Intellectual Property Rights

GovGrids and its licensors retain all right, title, and interest in and to the Services, including all software, code, platform architecture, workflows, user interfaces, templates, designs, trade names, trademarks, service marks, documentation, reports, know-how, and related intellectual property, except for Customer Data and any rights expressly granted to the customer in a written agreement.

Subject to these Terms and any applicable written agreement, GovGrids grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable service term solely for its internal governmental or authorized organizational purposes.

14. Feedback

If you provide feedback, suggestions, recommendations, enhancement ideas, or similar input relating to the Services, GovGrids may use that feedback without restriction or obligation to you, provided that such use does not disclose confidential Customer Data in violation of applicable law or written agreement.

15. Confidentiality

Each party may receive non-public, confidential, proprietary, operational, technical, commercial, or security-related information from the other party. Each party agrees to protect such information using reasonable care and to use it only as necessary to perform under these Terms or an applicable written agreement, except where disclosure is required by law, court order, public records requirements, or lawful governmental process.

Nothing in these Terms prevents a public-sector customer from complying with legal disclosure duties applicable to it, including public records, audit, or transparency obligations.

16. Suspension and Termination

GovGrids may suspend or restrict access to the Services, in whole or in part, if reasonably necessary to protect the security, integrity, or lawful operation of the Services, to prevent harm, to respond to suspected misuse, to comply with law, or if a customer or user materially violates these Terms or a related written agreement.

Customers may discontinue use of the Services in accordance with the applicable contract, subscription term, procurement arrangement, or other written agreement. Upon expiration or termination, access rights may cease except as otherwise provided in writing, and GovGrids may delete or return Customer Data in accordance with applicable agreements, retention requirements, legal obligations, and technical procedures.

17. Disclaimers

To the fullest extent permitted by applicable law, and except as expressly provided in a written agreement, the Services are provided “as is” and “as available.” GovGrids disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

GovGrids does not warrant that the Services will meet every customer requirement, operate without interruption, be entirely error-free, or guarantee a particular operational, administrative, legal, or financial result.

18. Limitation of Liability

To the fullest extent permitted by applicable law, GovGrids and its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunities, or anticipated savings, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, GovGrids’ aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amounts paid or payable by the customer to GovGrids for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability, unless a different limitation is expressly set forth in a written agreement.

Some jurisdictions do not allow certain disclaimers or limitations of liability, so portions of this section may not apply to the extent prohibited by law.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless GovGrids and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your misuse of the Services, your violation of these Terms, your violation of applicable law, or your submission or handling of Customer Data without sufficient right, authority, or legal basis.

20. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws specified in the applicable written agreement between GovGrids and the customer. If no such agreement specifies governing law, these Terms shall be governed by the applicable laws of the United States and, where appropriate, the laws of the state in which the governing contract or customer relationship is administered, without regard to conflict of law principles.

21. Changes to These Terms

GovGrids may update or revise these Terms from time to time to reflect changes in the Services, legal requirements, operational practices, or business needs. Updated Terms will become effective upon posting or as otherwise communicated. Continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes, except where a separate written agreement controls or where additional notice is required by law.

22. Entire Agreement

These Terms, together with any applicable written agreement, proposal, order form, statement of work, data processing terms, procurement documents, or other contract documents, constitute the complete agreement between the parties with respect to the Services and supersede prior or contemporaneous understandings relating to the same subject matter, except as expressly stated otherwise in writing.

23. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law. A failure by GovGrids to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
